Terms of Service

1. Agreement to Terms

By accessing or using Cloudlabels ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, customers, merchants, and contributors of content.

2. Service Description

Cloudlabels is a subscription-based software-as-a-service platform that enables users to:

• Design and create labels with QR codes, barcodes, and custom content
• Manage inventory items and data
• Import and export data via CSV
• Generate high-resolution PDFs for printing
• Collaborate with team members (Business plan)

3. Account Registration

To use the Service, you must:

• Create an account by providing accurate and complete information
• Maintain the security of your account credentials
• Be at least 16 years of age (or have parental consent)
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized use

4. Subscription Plans and Payment

4.1 Plans and Tiers

We offer the following plans (subscription prices shown are monthly; annual billing available at a discount):

• Free: $0/month — 20 items, 20 labels/month, 150 DPI export with “Made with Cloudlabels” watermark on PDFs, 1 user, community support
• Starter Pack: $19 one-time — 2,000 labels over 90 days, 600 DPI export, no watermark, 1 user, email support (no subscription, no auto-renew)
• Pro: $19.90/month or $16/month billed annually ($192/year) — up to 25,000 items, unlimited labels, 50 print profiles, 600 DPI export, priority email support (14-day free trial, no credit card required; auto-downgrades to Free if not activated)
• Business: $29.90/month or $24/month billed annually ($288/year) — up to 250,000 items, up to 10 team members, 200 print profiles, 600 DPI export, priority support (14-day free trial, no credit card required; auto-downgrades to Free if not activated)
• Enterprise: Custom pricing, billed by invoice — 10+ users, priority support with dedicated success manager, custom onboarding, custom domain / white-label options. Contact sales.

4.2 Payment Terms

• Pro and Business subscriptions are billed monthly or annually in advance
• The Starter Pack is a one-time, non-recurring charge
• Enterprise agreements are billed by invoice per signed order form
• Payments are processed securely through Stripe (where applicable)
• All prices are in USD unless otherwise stated
• Prices may change with 30 days' notice
• Refunds are handled on a case-by-case basis

4.3 Cancellation

You may cancel your Pro or Business subscription at any time. Cancellation takes effect at the end of your current billing period, and you will retain access until then. The Starter Pack is a one-time purchase and automatically ends after 90 days or when its label quota is exhausted. Enterprise agreements are governed by the applicable order form.

5. Usage Limits and Restrictions

Your subscription plan includes specific limits on:

• Number of items you can store
• Number of labels you can generate per month (Free) or within the purchase window (Starter Pack)
• Number of print profiles you can create
• Number of users (Business plan allows up to 10 team members; Enterprise supports 10+ users)
• PDF export quality (DPI) and watermarking (Free plan PDFs include a “Made with Cloudlabels” watermark)

You agree not to:

• Exceed your plan's limits without upgrading
• Use the Service for illegal purposes
• Attempt to reverse engineer or hack the Service
• Share your account credentials with others
• Use automated systems to access the Service without permission

6. User Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you create, upload, or store in the Service. You grant us a license to use, store, and process your content solely to provide the Service.

6.2 Our Intellectual Property

The Service, including its design, features, and functionality, is owned by Cloudlabels and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service.

7. Prohibited Uses

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit harmful code, viruses, or malware
• Harass, abuse, or harm others
• Spam or send unsolicited communications
• Impersonate others or provide false information
• Interfere with or disrupt the Service

8. Service Availability and Modifications

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Technical issues or outages
• Force majeure events

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the 12 months preceding the claim
• We are not responsible for data loss, though we maintain regular backups

10. Indemnification

You agree to indemnify and hold harmless Cloudlabels, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Use the Service in a manner that harms us or other users

Upon termination, your right to use the Service will cease immediately. We may delete your account and data after a reasonable retention period.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Norway. For users in the European Union, you retain your rights under mandatory consumer protection laws of your country of residence.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.
